Terms of Service - Centerline

Welcome to Centerline! These Terms of Service ("Terms") govern your access to and use of the Centerline service and any related websites, applications, APIs, and services (collectively, the "Service") provided by Monkeytail Studios, LLC ("Company," "we," "us," or "our").

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

IMPORTANT: The Service is a planning and administrative tool for aircraft owners, partnerships, and clubs. It is not a safety-of-flight system and does not replace compliance with FAA rules and regulations.

1. Eligibility and Authority

You must be at least 18 years old to use the Service. If you use the Service on behalf of an organization (such as an operator, flight department, or maintenance provider), you represent that you have the authority to bind that organization. In such cases, "you" includes the organization.

2. The Service

The Service allows users to:

Book and manage flight-related plans or requests,
Track flight status and related operational information, and
Track aircraft maintenance planning and records entered by users.

We may update, modify, suspend, or discontinue any part of the Service at any time.

3. Aviation-Specific Disclaimers and User Responsibilities

3.1 Planning Tool Only; Not Safety-of-Flight

The Service is provided solely as a planning and administrative tool. It is not intended for, and must not be relied upon for:

Dispatch, flight release, or operational control decisions,
Determining airworthiness or legal flight status,
Replacing required preflight planning, weather briefings, or performance calculations, or
Serving as an official FAA record-keeping system.

3.2 Compliance Is Your Responsibility

You acknowledge that aircraft owners, operators, and pilots are solely responsible for complying with all FAA rules and regulations, performing required inspections, and maintaining all legally required documentation. You are responsible for the accuracy and completeness of any data you input.

4. Accounts, Security, and Administration

4.1 Account Security

You must keep your login credentials secure and notify us immediately of any unauthorized use.

4.2 Organization Accounts

If you use the Service as part of an organization, administrators may manage user roles and permissions. You are responsible for managing access within your organization.

5. Acceptable Use

You agree not to misuse the Service. Prohibited activities include interfering with the Service, reverse engineering it, or accessing data without permission. We may suspend or terminate accounts that violate these rules.

6. Subscription, Billing, and Payments

6.1 Subscription Term and Auto-Renewal

Subscriptions automatically renew for successive periods (e.g., monthly or annually) unless canceled.

6.2 Billing and Payment

You authorize us to charge your payment method for subscription fees and any applicable taxes. Fees are generally non-refundable.

6.3 Cancellations

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.

6.4 Non-Payment

If payment fails or is reversed (e.g., due to a chargeback), we may suspend or terminate your access to the Service. You remain responsible for any unpaid amounts.

7. Data, Content, and Ownership

7.1 Your Data

As between you and us, you retain ownership of the data and content you submit to the Service ("Customer Data").

7.2 License to Operate the Service

You grant us a non-exclusive, worldwide license to host, store, process, and display your Customer Data as needed to provide the Service.

7.3 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

8. Data Retention and Deletion (Subscription Termination)

While your subscription is active, we retain your data in accordance with our Privacy Policy. If your subscription is terminated or expires, you must export any data you wish to keep before your subscription ends or contact us to discuss data retrieval options.

Important: Once your subscription is terminated, your data will be deleted and will no longer be recoverable.

9. Third-Party Services and Integrations

The Service may connect to third-party services. We are not responsible for third-party services, and their terms and policies govern your use of them.

10. Intellectual Property

We and our licensors retain all rights to the Service (excluding Customer Data). We grant you a limited, non-exclusive license to use the Service during your subscription.

11. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee that the Service will be error-free or uninterrupted.

12. Limitation of Liability

To the extent permitted by law, our liability is limited to the amount you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential damages.

13. Indemnification

You agree to indemnify and hold us harmless from claims arising out of your use of the Service, your data, or your violation of these Terms.

14. Suspension and Termination

We may suspend or terminate your account for violations of these Terms or failure to pay fees.

15. Governing Law and Venue (Minnesota)

These Terms are governed by the laws of the State of Minnesota. Any disputes will be resolved in Minnesota courts.

16. Changes to the Terms

We may update these Terms from time to time. We will notify you of any material changes. Continued use of the Service after changes means you accept the new Terms.

17. Notices

Notices to you may be provided by email or through the Service. Notices to us should be sent to our legal contact address.

18. Privacy Policy

Our Privacy Policy is incorporated by reference into these Terms.

19. Miscellaneous

These Terms are the entire agreement between you and us regarding the Service. If any part of these Terms is found unenforceable, the rest remains in effect. You may not assign these Terms without our consent.
